Terms of Service

These Terms of Service ("Terms") govern your use of Artery ("Artery," "we," "us"), a music-industry platform for independent artists and their managers, at arteryhq.com. By creating an account or using Artery you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

1. Eligibility

You must be at least 18 years old to use Artery. By using the service you represent that you are 18 or older and able to enter a binding agreement.

2. The service

Artery provides analytics dashboards, industry news, AI-generated briefings and assistance, calendar and task tools, catalog checks, contracts, artist-management and roster tools, collaboration and file sharing, demo sharing, optional third-party integrations (such as Google), and related features for independent artists and their managers. We may add, change, or remove features over time. Analytics and news are assembled from third-party platforms and publicly available sources; they are provided for information only and we do not guarantee their accuracy, completeness, or timeliness.

Artery is currently provided free of charge. We may introduce paid plans in the future, and features may vary by account type or subscription plan; if we introduce charges, we will give you notice and no charge will ever apply without your agreement.

Artery lets artists and managers connect their accounts. By accepting a connection (or joining a team), you consent to the connected manager and team seeing the data and content associated with your artist profile, as described in the Privacy Policy. Briefing notes a manager's tools generate about an artist are visible to that artist. Either side may end a connection at any time in the app.

Artery's AI features (briefings, insights, the Meridian assistant, summaries) generate content automatically and may contain inaccuracies or omissions. AI output is provided for information only and is not professional, legal, financial, tax, investment, medical, or other professional advice. You remain responsible for reviewing AI-generated content and for any decisions you make based on it. Verify anything important before relying on it.

8. Third-party services

Artery depends on third-party platforms and data sources (including Google integrations, Spotify, YouTube, Chartmetric, Deezer, Apple Music, and others). We do not control them. They may change their APIs, impose rate limits, suspend service, or discontinue features, which can affect or interrupt Artery's features. Your use of an integration (such as Google Calendar or Google Sheets) is also subject to that provider's terms. By using Artery's YouTube API features, you also agree to be bound by the YouTube Terms of Service. Google's handling of information is described in the Google Privacy Policy.

9. Availability and changes

We provide Artery on an "as available" basis and do not guarantee uninterrupted operation. Data refreshes and scheduled emails are best-effort. We may perform maintenance, security updates, or emergency changes — at times without notice where necessary — and we may modify, suspend, or discontinue features (or the service) at any time; for material changes we will give reasonable notice where practicable.

10. Disclaimer of warranties

To the maximum extent permitted by law, Artery is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. Without limiting the above, we make no warranty regarding AI-generated content, third-party data and services, user-generated content, or integrations, and we do not warrant that the service will be error-free or secure, or that any data (including third-party analytics and AI output) will be accurate.

11. Limitation of liability

To the maximum extent permitted by law, Artery and its affiliates, employees, contractors, officers, directors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising from your use of (or inability to use) Artery — including reliance on analytics or AI output. Our total aggregate liability for any claim relating to the service is limited to the greater of the amounts you paid us for the service in the 12 months before the claim and CAD $100. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnification

You will indemnify and hold us harmless from claims arising out of your content, your misuse of the service, or your breach of these Terms.

13. Feedback

If you voluntarily send us suggestions, ideas, or feedback about Artery, you agree we may use them without any obligation or compensation to you, and without restriction.

14. Termination

You may stop using Artery at any time and may request deletion of your account and data as described in the Privacy Policy. We may suspend or terminate your account, or suspend or remove content that violates these Terms, if you breach these Terms, if required by law, or if we discontinue the service. You remain responsible for obligations that arose before termination. On termination, your right to use the service ends; sections that by their nature should survive (including 5, 10–13, and 15) survive.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Courts located in Ontario have exclusive jurisdiction over disputes arising from these Terms, and each party consents to their jurisdiction.

16. Changes to these Terms

We may update these Terms. If changes are material we will update the date above and notify you in the app or by email before they take effect. Continuing to use Artery after changes take effect means you accept them.
